1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of labdirectly.com (the "Website") operated by Top Perks Corp ("Top Perks", "we", "us" or "our"). By using the Website or submitting a request, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website.

2. About Our Services

Top Perks offers a business-to-business subscription service. Companies ("Clients") purchase a subscription that gives their employees access to discounts and special offers from independent partners in categories such as fitness, learning, travel, restaurants and technology (the "Services").

Information on the Website is provided for general information about the Services. The specific scope, price and conditions of the Services are set out in an individual proposal and a service agreement signed with each Client. If there is a conflict between these Terms and a signed service agreement, the service agreement prevails.

3. Eligibility and Business Use

The Website and Services are intended for businesses. By submitting a request on behalf of a company, you confirm that you are at least 18 years old and are authorized to act on behalf of that company. You agree to provide accurate, current and complete information.

4. Requests, Proposals and Pricing

Submitting a request through the Website does not create a contract. After receiving your request, we will contact you to discuss your needs and may send a proposal together with the current list of partners available to your team. Prices are calculated individually (typically per employee per month) and are confirmed only in a written proposal or service agreement.

5. Partner Offers

• Partner offers are provided by independent third parties (gyms, studios, schools, travel providers, restaurants, retailers and others). Each partner is solely responsible for its goods, services, quality, safety and its own terms of sale.
• The partner list is updated monthly. Partners, venues and discount levels may change, be added or be withdrawn, and availability may vary by location and season.
• Discount levels shown on the Website (for example, "up to 30% off") are indicative maximums. Actual discounts depend on the specific partner, product or service and its terms.
• We do not guarantee that a specific partner or venue will be available at any given time.

6. Fees, Billing and Cancellation

Subscription fees, billing periods, payment terms, applicable taxes and cancellation conditions are set out in the Client's service agreement. Unless otherwise agreed in writing, a Client may change the number of covered employees or selected categories, or cancel the subscription, effective at the end of the current billing period. Fees already paid for a current billing period are generally non-refundable unless the service agreement provides otherwise.

7. Employee Access

Clients are responsible for providing an accurate list of eligible employees and for informing us when employees leave the company. Personal access to partner offers is non-transferable and may be used only by the eligible employee in accordance with partner terms. We may suspend access in case of misuse or fraud.

8. Acceptable Use of the Website

You agree not to:

• use the Website for any unlawful purpose or in violation of these Terms;
• submit false, misleading or third-party information without authorization;
• attempt to gain unauthorized access to the Website, its servers or data;
• interfere with the operation of the Website, including by sending spam, viruses or automated requests;
• copy, scrape or reproduce Website content for commercial purposes without our written consent.

9. Intellectual Property

All content on the Website, including text, graphics, logos, icons, design and software, is owned by or licensed to Top Perks Corp and is protected by intellectual property laws. You may view and print pages for your own internal business use only. Partner names and trademarks belong to their respective owners.

By submitting a request, you agree that we may contact you by email or phone regarding your request and our Services. If you subscribe to updates, you may unsubscribe at any time using the link in our emails or by contacting us.

12. Disclaimer of Warranties

You agree to indemnify and hold harmless Top Perks Corp from any claims, damages and expenses, including reasonable attorneys' fees, arising from your violation of these Terms or misuse of the Website.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Website will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Website after changes take effect means you accept the revised Terms.
